In no event shall Juwulu's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using our Services during the six months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Juwulu and its parent, subsidiaries, affiliates, partners, officers, directors, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of:

• Your violation of the rights of a third party, including but not limited to intellectual property rights

Termination

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to its conflict of law principles.

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the federal and provincial courts located in Toronto, Ontario, and you hereby irrevocably consent to the exclusive jurisdiction and venue of such courts.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Toronto, Ontario, before one arbitrator.

The arbitration shall be administered by the ADR Institute of Ontario in accordance with its Arbitration Rules. The language of the arbitration shall be English. Judgment on the award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may bring an action in court for injunctive relief or other equitable relief to prevent or restrain a violation of these Terms or our intellectual property rights.

Miscellaneous

These Terms constitute the entire agreement between you and Juwulu regarding the use of our Services and supersede all prior agreements, communications, and proposals, whether oral or written, between you and us.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is found to be unenforceable by a court, the remaining provisions will remain in full force and effect.
